Welcome to cleanlabelcoffee.com. These Terms & Conditions (“Terms”) apply to your use of this website and to quotations, samples, and orders arranged through it. By using the site or placing an order, you agree to these Terms. If you don’t agree, please don’t use the site.

In these Terms, “CLC” means Clean Label Coffee, Vietnam Produce DP Company Limited, based in Ho Chi Minh City, Vietnam. “You” means the business or person using the site or buying from CLC.

1. About our services

CLC supplies roasted ground coffee, roasted whole bean coffee, and green coffee beans, including OEM and private label production for business customers. Our website is intended for business use (B2B), not for individual consumers.

2. Using this website

You agree to use the site lawfully and not to:

  • Copy, scrape, or reproduce our content without permission
  • Interfere with the site’s operation or security
  • Submit false or misleading information through our forms

All text, images, logos, and other content on this site belong to CLC or its licensors. You may view and share pages for ordinary business purposes, but you may not use our content commercially without written consent.

3. Product information

We try to keep product descriptions, specifications, and images accurate. Coffee is an agricultural product, so flavor, color, and bean size can vary slightly between harvests. Information on the site is a general guide, not a binding offer. The agreed specification for your order is the one confirmed in your written quotation or contract.

4. Quotations and orders

  • Requests sent through the site are enquiries, not orders.
  • A quotation from CLC is valid for [30] days unless it says otherwise.
  • An order is confirmed only when CLC accepts it in writing (for example, by sending an order confirmation or proforma invoice).
  • Prices, quantities, packaging, and delivery terms are those stated in the confirmed quotation or invoice.
  • Minimum order quantities (MOQ) may apply and will be stated in your quotation.

5. Samples

Samples may be offered so you can evaluate our coffee before ordering. 6. Private label, artwork, and intellectual property

  • Your materials: You keep ownership of your brand name, logo, artwork, and packaging designs. You confirm that you have the right to use them and that they don’t infringe anyone else’s rights.
  • Approval: Production begins only after you approve the final artwork, labeling, and sample in writing. CLC is not responsible for errors in artwork or label content that you have approved, including legal or regulatory labeling requirements in your market.
  • CLC materials: Our own brand, formulas, roast profiles, processes, and website content remain the property of CLC. Custom blends developed for you are [confidential and will not be sold to others under the same recipe / describe your policy].
  • CLC may not use your brand in marketing without your permission.

7. Payment

Payment terms, currency, and accepted methods are stated in your quotation or invoice. Bank charges are normally the buyer’s responsibility unless agreed otherwise.

8. Production and delivery

  • Production and delivery times are estimates unless confirmed in writing, and may be affected by harvest conditions, customs, shipping delays, or other events outside CLC’s control.
  • Delivery follows the Incoterms stated in your quotation (for example, FOB or CIF). Risk passes to you as set out in those terms.
  • You are responsible for import duties, taxes, permits, and compliance with the rules of your destination country, unless agreed otherwise.

9. Inspection and claims

Please inspect your goods promptly on arrival. If something is damaged, defective, or doesn’t match the confirmed specification, notify CLC in writing within [7–14] days of delivery, with photos and a description of the problem. Claims made after that period may not be accepted. If a claim is valid, CLC will, at its choice, replace the affected goods, repair the problem, or refund the affected portion of the order.

10. Storage and use of products

Coffee should be stored in a cool, dry place away from direct sunlight, in line with the guidance on the packaging. CLC is not responsible for quality loss caused by improper storage or handling after delivery.

11. Limitation of liability

To the extent permitted by law:

  • CLC is not liable for indirect or consequential losses, such as lost profits, lost business, or damage to reputation.
  • CLC’s total liability for any claim relating to an order is limited to the value of the goods affected by that claim.
  • Nothing in these Terms excludes liability that cannot be excluded by law.

12. Confidentiality

Both parties agree to keep confidential any non-public business information shared during discussions, such as formulas, pricing, and artwork, and to use it only for the purpose of working together. [If you want stronger protection, a separate NDA can be signed on request.]

13. Force majeure

Neither party is responsible for delays or failure to perform caused by events beyond reasonable control, such as natural disasters, extreme weather affecting harvests, war, strikes, government actions, or transport disruption.

15. Governing law and disputes

These Terms are governed by the laws of Vietnam. We hope to settle any disagreement through friendly discussion first. If that doesn’t work, disputes will be handled by [the competent courts in Ho Chi Minh City / an arbitration body you choose, e.g. VIAC].

CLC may update these Terms from time to time. The current version is always on this page, with the “Last updated” date above. Orders already confirmed remain under the terms in force at the time of confirmation.
